Terms of use

01Purpose and scope
These terms of use (the “Terms of Use”) set out the rules for accessing and using the dooplik.com site and the Dooplik service (the “Service”), published by Alexandre PETIT, sole trader (entrepreneur individuel) operating under the trade name SERENITE (the “Publisher”). They apply to anyone who browses the site or uses the Service, whether they subscribed to a plan or were invited into a workspace by a customer (a “User”). Creating an account or accepting an invitation constitutes acceptance of the Terms of Use. Subscribing to a plan is governed by the terms of sale (the “Terms of Sale”), which supplement the Terms of Use. In the event of conflict, signed special terms prevail over the Terms of Sale, and the Terms of Sale over the Terms of Use.
02Definitions
Customer: the professional who subscribed to a plan and in whose name the workspace is opened. User: any individual authorised by the Customer to access its workspace. Instance: an Odoo database, however hosted (Odoo Online, Odoo.sh, self-hosted), operated by the Customer or by one of its own clients. Source Instance, Destination Instance: the Instance whose configuration is read; the Instance into which that configuration is written. Access Credentials: the URL, database name, user login and Odoo API key or password that the Customer stores in the Service so that it can connect to an Instance. Propagation: the operation by which the Service reads configuration items from a Source Instance and writes them into one or more Destination Instances.
03Access to the Service
The Service is intended exclusively for professionals — Odoo agencies, integrators and solution vendors, and businesses acting for the purposes of their trade, business or profession. The User represents that they are of legal age, have legal capacity and, when acting on behalf of a company, are authorised to do so. The public site is freely accessible. Access to the Service's features requires an account, created with accurate and up-to-date information. The equipment and internet access required remain the User's responsibility.
04Account and authentication
Credentials for signing in to the Service (email address and password) are personal and confidential: they must not be shared or reused from another service. The User chooses a strong password and enables two-factor authentication when their plan offers it. Any action carried out from an account is deemed to have been carried out by its holder, unless proven otherwise. The User reports any unauthorised use or suspected compromise of their account to bonjour@dooplik.com without delay. The Customer appoints the administrators of its workspace. They manage invitations and promptly remove access for anyone no longer authorised, in particular when an employee leaves or a contractor's assignment ends.
05Connecting Instances and Access Credentials
The Service connects to Instances using the Access Credentials the Customer stores in it. The Customer remains in sole control of them: it generates them in Odoo, decides their scope and may revoke them at any time from its Instance. By storing Access Credentials, the User warrants that: — they have the authorisation of the Instance's owner, in particular when it belongs to one of their clients; — the Instance's Odoo subscription allows external API access, and its use through the Service complies with the terms of Odoo S.A. or of the Instance's hosting provider. The Customer undertakes to apply the following rules: — use an Odoo user dedicated to the Service, holding only the rights required for the intended operations; — generate an API key specific to the Service rather than storing a password, and set an expiry date when the Odoo version allows it; — never send an API key over an insecure channel (email, chat, ticket, shared document), nor store it in clear text outside the Service; — revoke and renew the key at the end of a project, when anyone who had access to it leaves, and immediately upon any suspicion of disclosure; — delete from the Service any Access Credentials that are no longer needed. The consequences of a breach of these rules are governed by the provisions of the Terms of Sale on Access Credentials and security incidents.
06Acceptable use
The User shall not, in particular: — connect an Instance without its owner's authorisation, or use the Service to access data they are not lawfully entitled to access; — undermine the security, integrity or availability of the Service: intrusion attempts, unauthorised vulnerability testing, introduction of malicious code, abnormal load, circumvention of quotas or technical limits; — decompile or disassemble the Service, except in the cases and within the limits of Article L.122-6-1 of the French Intellectual Property Code; — extract content from the site or Service by automated means other than the documented API made available; — resell, sublicense or make access to the Service available to third parties, unless under a licence or white-label offer concluded for that purpose; — use the Service in breach of the law or of third-party rights. Anyone who identifies a vulnerability is invited to report it to bonjour@dooplik.com, without exploiting it beyond what is needed to demonstrate it and without accessing other people's data.
07The Customer's Instances and data
The Customer remains the owner of, and solely responsible for, its Instances, their configuration and the data they contain, as well as the reports produced on its behalf. It authorises the Publisher, solely for the duration and purposes of providing the Service, to read, transmit and write those items in accordance with its instructions. The Publisher claims no rights over this content and does not use it for its own purposes. Content read from Instances passes through memory for the duration of the operation and is not retained; only the execution logs described in the privacy policy are kept.
08Checking results and backups
The Service is a configuration assistance tool: it carries out the User's instructions and does not replace their expertise. A Propagation writes into the Destination Instance and changes its state; the result depends on the Odoo version, installed modules, customisations and the API limits of each Instance. The User is therefore responsible for: — having a recent, restorable backup of the Destination Instance before any Propagation, as the Publisher keeps no copy of Instances and cannot restore them; — preferring a test or staging Instance when the Destination Instance is in production; — reviewing the execution reports and checking the result before any go-live or delivery to a client.
09Intellectual property
The Service, its software, interfaces and documentation, and the Dooplik name and logo are the exclusive property of the Publisher. The Terms of Use grant the User a personal, non-exclusive, non-transferable right of use limited to the duration of their access, solely for their professional activity. No rights are assigned. The Publisher may freely use suggestions sent by the User to improve the Service, without consideration.
10Availability and changes to the Service
The Publisher endeavours to keep the Service available at all times, without being bound by an obligation of result. Access may be interrupted for maintenance, updates or security reasons, with prior notice when the work is scheduled. The Publisher may change the Service's features; removal of an essential feature of a paid plan is notified to the Customer as provided in the Terms of Sale.
11Suspension and closure of an account
In the event of a breach of the Terms of Use, the Publisher may, after formal notice has remained unheeded for eight days, suspend the User's access and then close their account. Suspension may be immediate where the breach threatens the security of the Service, its other users or an Instance, or constitutes an offence; the Publisher then informs the User as soon as possible, stating the reason. The User may stop using the Service at any time. Closure of a Customer's workspace and what happens to its data are governed by the Terms of Sale.
12Liability
Each User is responsible for their use of the Service and for the Access Credentials they store in it. The Publisher is not liable for damage resulting from use in breach of the Terms of Use, from unavailability or malfunction of an Instance, of the Odoo API or of the internet, or from the acts of a third party for whom it is not responsible. Towards the Customer, the Publisher's liability, its limits and exclusions are governed exclusively by the Terms of Sale. Nothing in the Terms of Use limits the Publisher's liability for gross negligence or wilful misconduct, or releases it from its legal obligations, in particular regarding personal data protection.
13Third-party trademarks and links
Odoo is a trademark of Odoo S.A. Dooplik is an independent tool, with no partnership, affiliation or endorsement from Odoo S.A. Links to third-party sites are provided for convenience; the Publisher has no control over their content.
14Personal data
The processing of personal data related to the site and the Service is described in the privacy policy. When the Service processes data held in the Customer's Instances on its behalf, the Publisher acts as processor, under the conditions set out in the Terms of Sale.
15Changes to the Terms of Use
The Publisher may amend the Terms of Use. Account holders are informed of any material change by email or by a message in the Service at least thirty days before it takes effect, unless the change is required by law or by an overriding security need. Continued use of the Service after that date constitutes acceptance; otherwise, the User stops using the Service.
16Governing law and disputes
The Terms of Use are governed by French law. The parties shall endeavour to settle amicably any dispute over their interpretation or performance. Failing that, the dispute is brought before the courts designated in the Terms of Sale when it is between the Publisher and a Customer, and before the courts having jurisdiction under ordinary rules in other cases.
